Voluntary "Strike Off"
Where a company has stopped to carry out business activities or has never carried out business, it may submit an application to the Department of Registrar of Companies and Official Receiver for strike off its name from the Register of Companies. For a strike-off to be completed successfully it is advisable to consider that the company has complied with all of its statutory and contractual obligations and more specifically: • There are no outstanding obligations owed towards the company’s creditors; • There are no outstanding obligations owed to the Cyprus Tax Department and/or Social Insurance Services and/or any other authority; • There is no injunction issued by any authority against the company. Considering that a company is in compliance with all of the above-mentioned obligations it may proceed with the filing an application for strike off signed by the company’s directors that should contain among others the following: • Name and company registration number; • The explanatory statement of the reasons for striking off the company; • A statement that the company has no obligations or assets. Upon the receipt of the application and its review by the Department of Registrar of Companies and Official Receiver and provided that the Registrar of Companies is satisfied that all relevant legal requirements have been met a relevant publication in the Official Gazette of the Republic of Cyprus announcing a company’s strike off will be published. Following the expiration of three (3) months as of the publication date and provided that no objection to the company’s strike off filled with the Registrar of Companies by an interested third party, the company will be struck off the Register and relevant records will be made in the Registrar of Companies’ books.
